By registering for an account, accessing the website, placing an order, or purchasing products through CarryMart, you agree to these Terms & Conditions.
CarryMart is a wholesale platform intended for approved dealers and businesses. By using the website, you confirm that you are acting for business purposes and have the authority to place orders on behalf of your business.
1. Eligibility and Dealer Accounts
CarryMart is available only to approved dealers and businesses.
To register, you must provide accurate and complete business and contact information and any information reasonably required by CarryMart to verify your business.
CarryMart may review and verify registration information before approving an account. Only approved dealers may access dealer pricing and place orders.
You are responsible for:
- providing accurate and current business, contact, and delivery information;
- keeping your account login information and password secure;
- notifying CarryMart if you believe your account has been accessed without authorization; and
- all activity conducted through your account, subject to applicable law.
CarryMart will take reasonable measures to protect account information and maintain appropriate security controls.
2. Orders
Orders may be placed only by approved dealers.
When you place an order, the order information and confirmation will be available through the Order Details page.
Once an order has been confirmed by CarryMart, the order is considered accepted, subject to these Terms and any applicable changes communicated to you.
CarryMart may accept, reject, modify, or cancel an order when reasonably necessary, including because of:
- product availability;
- incorrect product information;
- pricing or calculation errors;
- technical errors;
- circumstances affecting our ability to fulfil the order; or
- other reasonable business or operational reasons.
If CarryMart needs to make a material change to an order, we will contact the dealer where reasonably possible.
3. Checking Order Information
Dealers are responsible for reviewing the Order Details page and checking that the order information is correct.
This includes:
- products;
- quantities;
- prices;
- delivery address;
- contact information; and
- other relevant order details.
If you notice an error, contact CarryMart as soon as possible.
Order changes may be requested before delivery, but any requested change must be approved by CarryMart.
4. Pricing and Currency
All prices displayed by CarryMart are in Canadian Dollars (CAD) unless expressly stated otherwise.
Applicable taxes are calculated separately at checkout or payment and are not included in the displayed product price unless expressly stated.
CarryMart may change product prices, availability, descriptions, images, specifications, and other product information without prior notice.
We make reasonable efforts to maintain accurate pricing and product information. However, if a pricing or product-information error is discovered, CarryMart may correct the error and, where reasonably necessary, cancel the affected order or item.
CarryMart will not intentionally use false or misleading pricing or promotional representations. Canadian competition law prohibits materially false or misleading representations, including certain misleading price and discount claims.
5. Payment
CarryMart currently accepts Cash on Delivery (COD) as the standard payment method.
The full order amount, including applicable taxes, is payable when the order is delivered by CarryMart's delivery personnel.
All payments are made in Canadian Dollars.
If a dealer is unable or unwilling to complete payment at the time of delivery, CarryMart may reschedule the delivery once.
6. Delivery
CarryMart provides delivery throughout Canada, subject to operational availability.
Delivery is provided by CarryMart's delivery personnel.
Delivery is free of charge unless a different charge is expressly communicated to the dealer before the order is completed.
Delivery times are estimates only and are not guaranteed. Delivery timing may vary because of:
- delivery location;
- product availability;
- order volume;
- weather;
- transportation or operational conditions;
- technical issues; or
- other circumstances affecting delivery.
CarryMart may contact the dealer using the telephone number or other contact information provided in the account or order when necessary to arrange or complete delivery.
7. Delivery Address
Dealers are responsible for providing a complete and accurate delivery address.
If an address is incorrect or incomplete, CarryMart will contact the dealer and make reasonable efforts to arrange delivery to the correct address.
Delivery may be delayed until the correct delivery information is provided.
8. Delivery Inspection
Dealers should check their order when it is delivered, including the products, quantities, and visible condition of the products.
If a dealer identifies a quantity discrepancy, the issue should be reported to CarryMart within the applicable short return/reporting period after delivery.
9. Out-of-Stock Products
Product availability may change between the time an order is placed and the time it is processed or delivered.
If an ordered product is unavailable, CarryMart will contact the dealer and allow the dealer to choose whether to:
- cancel the unavailable item; or
- wait until the product becomes available.
10. Orders Containing Multiple Products
If an order contains multiple products and one or more products become unavailable, CarryMart will contact the dealer.
The dealer may choose, subject to availability and reasonable operational requirements, to:
- wait for the unavailable products;
- remove the unavailable products from the order; or
- proceed with the available products.
11. Order Cancellation
A dealer may request cancellation of an order before delivery by contacting CarryMart support.
Once an order has been delivered, the order cannot normally be cancelled. Any return, refund, or replacement after delivery is handled under the applicable return and product-issue provisions of these Terms.
12. Returns for Damaged, Defective, or Incorrect Products
If a dealer receives a product that is damaged, defective, or incorrect, the dealer may contact CarryMart and request a return, refund, or replacement.
Returns must be reported within the applicable short return period determined by CarryMart for the relevant product or issue.
Unless the issue involves a product defect or another condition that reasonably requires different treatment, returned products must:
- be unused;
- remain in their original packaging; and
- be in their original condition.
CarryMart will review the reported issue and determine whether the return, refund, or replacement is approved.
13. Return Pickup
If CarryMart approves a return, CarryMart's delivery personnel will arrange pickup of the product.
The dealer should keep the product available and properly packaged for pickup.
CarryMart may request reasonable information about the issue to evaluate the return.
14. Refunds
A monetary refund may be provided if CarryMart is unable to fulfil an order after payment has been received.
Approved refunds will generally be provided in cash.
Refunds are subject to CarryMart's review and approval and any rights or remedies that cannot legally be excluded under applicable law.
Because CarryMart generally operates on a COD basis, refunds will normally apply only where payment has actually been collected.
15. Product Replacement
Where a damaged, defective, or incorrect product is approved for replacement, CarryMart will replace the product with the same product, subject to availability.
If the same product is unavailable, the dealer may instead be offered another applicable resolution, including cancellation or refund where appropriate.
16. Product Disclaimer and Product-Supplier Responsibility
Products offered through CarryMart may be obtained from manufacturers, suppliers, distributors, brands, or other product sources.
Product descriptions, images, specifications, measurements, ingredients, materials, warnings, certifications, availability, and other product information may originate from manufacturers, suppliers, distributors, or other third parties.
CarryMart makes reasonable efforts to provide useful and accurate product information, but product information may contain errors, omissions, or information that changes over time.
Dealers are responsible for reviewing applicable product labels, descriptions, warnings, instructions, ingredients, specifications, and other available information before purchasing, reselling, handling, or using products.
Products must be handled and used in accordance with applicable manufacturer instructions, product labels, and applicable Canadian laws and safety requirements.
Where a product is supplied by a manufacturer, supplier, distributor, or other third party, that party may have responsibilities relating to the product's manufacture, quality, specifications, warranties, recalls, and safety, as applicable.
However, nothing in these Terms:
- removes or transfers any legal responsibility that CarryMart has under applicable Canadian law;
- authorizes the sale or distribution of products that are prohibited or non-compliant;
- prevents CarryMart from taking action regarding unsafe, recalled, defective, or non-compliant products; or
- limits any mandatory legal right, remedy, warranty, condition, or liability that cannot legally be excluded or limited.
Canadian product-safety legislation can impose obligations on businesses involved in importing, selling, supplying, advertising, or distributing regulated products. CarryMart will comply with applicable requirements that apply to its activities.
If you believe that a product is defective, unsafe, counterfeit, recalled, misrepresented, or otherwise problematic, contact CarryMart promptly so the issue can be reviewed and appropriate action can be taken.
17. Product Safety and Recalls
CarryMart may remove, restrict, suspend, or stop the sale of a product where we reasonably believe that the product may be unsafe, recalled, prohibited, defective, misrepresented, or otherwise non-compliant with applicable requirements.
Where required by applicable law, CarryMart may cooperate with manufacturers, suppliers, distributors, regulatory authorities, or other relevant parties regarding product-safety matters and recalls.
Dealers must cooperate reasonably with any recall, safety notice, or corrective action relating to products purchased through CarryMart.
Canadian product-safety guidance expects businesses involved with regulated products to maintain appropriate records and take action concerning unsafe products and reportable incidents where required.
18. No Minimum Order
CarryMart does not currently require a minimum order value or minimum order quantity.
CarryMart may establish product-specific quantity limits or availability restrictions where reasonably necessary.
19. Dealer Responsibilities
Dealers agree to:
- use the website only for legitimate business purposes;
- provide accurate business and contact information;
- keep account credentials secure;
- review order information carefully;
- pay the full order amount at delivery;
- provide a suitable and accurate delivery address;
- inspect delivered products;
- report product or quantity issues promptly;
- comply with applicable laws and product-use requirements; and
- not misuse the CarryMart website or ordering system.
20. Prohibited Website Use
Dealers must not use the CarryMart website or services to:
- commit fraud or unlawful activity;
- provide false or misleading information;
- attempt unauthorized access to accounts, systems, or databases;
- interfere with or disrupt the website or its operation;
- introduce malicious code or harmful software;
- misuse another person's account;
- manipulate orders or pricing through unauthorized methods; or
- otherwise use the website in a manner that violates applicable law or these Terms.
21. Account Suspension or Termination
CarryMart may suspend, restrict, or terminate a dealer account where reasonably necessary, including where a dealer:
- provides false or misleading business information;
- misuses the website;
- repeatedly refuses or fails to complete COD deliveries;
- violates these Terms;
- engages in fraudulent or unlawful activity; or
- creates a reasonable risk to CarryMart, other dealers, products, or the website.
Where appropriate, CarryMart may contact the dealer before taking action. However, immediate action may be taken where reasonably necessary.
Suspension or termination does not remove any payment obligation or other obligation that arose before the account was suspended or terminated.
22. Website Availability
CarryMart will make reasonable efforts to maintain website availability but does not guarantee that the website will always be available or uninterrupted.
The website may occasionally be unavailable because of:
- maintenance;
- technical problems;
- hosting issues;
- updates;
- security measures; or
- other operational circumstances.
23. External Websites and Links
CarryMart may provide links to third-party websites or services, including social media platforms and other external websites.
These websites are operated independently of CarryMart.
CarryMart is not responsible for the content, availability, security, terms, or privacy practices of third-party websites.
Dealers should review the applicable terms and privacy policies of third-party websites before using them.
24. Order and Business Records
CarryMart may maintain records relating to:
- dealer accounts;
- orders;
- deliveries;
- cancellations;
- returns;
- refunds;
- replacements;
- product issues; and
- other transactions or communications.
Records may be retained for legitimate business, accounting, operational, safety, dispute-resolution, and legal purposes, subject to applicable law.
25. Disputes and Customer Support
If a dealer has a question, complaint, or dispute concerning an order, product, delivery, payment, return, or these Terms, the dealer should first contact CarryMart so that the matter can be reviewed and resolved directly where possible.
Email: Carrymartwholesale@gmail.com
CarryMart will review disputes based on the relevant order information, communications, records, and applicable circumstances.
26. Compliance With Canadian Law
These Terms are intended to operate in accordance with applicable Canadian federal, provincial, and territorial laws.
CarryMart does not intend these Terms to exclude, restrict, or limit any legal right, remedy, warranty, condition, or liability that cannot lawfully be excluded, restricted, or limited.
Where mandatory law applies differently from these Terms, the mandatory legal requirement will prevail to the extent of the conflict.
Because CarryMart serves dealers across Canada, applicable requirements may vary depending on the province or territory in which a dealer operates or a transaction takes place.
27. Changes to These Terms
These Terms & Conditions are provided as the current terms governing CarryMart's website and services.
CarryMart does not currently provide for unilateral changes to these Terms without an appropriate update and communication process.
If these Terms need to be changed in the future, CarryMart will provide an updated version with a new effective date before relying on the revised terms for future transactions, subject to applicable law.
28. Entire Agreement
These Terms, together with applicable order information, product-specific terms, and CarryMart's Privacy Policy, form the terms governing the dealer's use of CarryMart and purchase of products through the website, to the extent applicable.
If there is a conflict between these Terms and a specific written agreement expressly accepted by CarryMart, the specific agreement will govern to the extent of the conflict.
29. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue to apply to the extent permitted by law.
